Terms of Service

1. Purpose

These Terms of Service (the “Terms”) govern access to and use of the Birdiko service, operated by SASU Vookl (“Birdiko”, “we”), as well as subscription to its paid plans. By creating an account or using the service, you (the “User”) accept these Terms in full. The service is reserved for professional use: by subscribing, the User declares that they act for the purposes of their business, trade, craft or profession. Consumer protection provisions do not apply.

2. Service description

Birdiko is an online service (SaaS) that lets you compose, schedule, publish and analyze posts on LinkedIn, Facebook and Instagram from a single interface. The User connects their own social accounts through the official authorization flows (OAuth). Birdiko only acts on connected accounts, based on actions the User initiates.

3. Account and access

Access requires creating an account. The User agrees to provide accurate information, keep their credentials confidential and notify us without delay of any unauthorized use. The User must have the legal capacity to enter into a contract.

4. Connecting social accounts

By connecting a LinkedIn, Facebook or Instagram account, the User warrants that they own it or hold the necessary permissions to manage it. Use of the service must comply with the relevant platforms' terms (including the LinkedIn API Terms of Use and the Meta Platform Terms). The User may disconnect their accounts at any time.

5. Plans, free trial and pricing

Birdiko offers a free plan (Free) and a paid plan (Pro), whose features and prices are shown on the Pricing page at the time of subscription. A 14-day free trial of the Pro plan, with no credit card, may be offered. Prices are shown in euros; VAT applies where relevant under applicable law. Birdiko may change its prices, with new prices applying to subsequent billing periods.

6. Subscription, payment and billing

Subscription to the Pro plan is completed online. Payments are processed by our provider Stripe; Birdiko does not store card numbers. The subscription is payable in advance, monthly or annually depending on the chosen plan. In the event of non-payment, access to paid features may be suspended.

7. Term, renewal and cancellation

The subscription is taken out with no minimum commitment and renews automatically at each term (monthly or annual) until cancelled. The User may cancel at any time from their account; cancellation takes effect at the end of the current paid period, which remains due. Birdiko may suspend or terminate an account in case of breach of these Terms.

8. Professional use and right of withdrawal

As the Birdiko service is reserved for professionals, the right of withdrawal under articles L221-18 et seq. of the French Consumer Code, which is reserved for consumers, does not apply. The 14-day free trial also lets you test the service before any payment.

9. Refunds

Amounts paid for a subscription period already started are not refundable, in whole or in part. The User keeps access to paid features until the end of the paid period.

10. User obligations

The User agrees to:

• not use the service for unlawful, fraudulent purposes or in breach of the social platforms' terms;
• not publish illegal, defamatory, hateful content or content infringing third-party rights;
• not attempt to disrupt, circumvent or compromise the security of the service;
• remain solely responsible for the content they create, schedule and publish through Birdiko.

11. Availability and maintenance

Birdiko strives to keep the service available but does not guarantee uninterrupted operation. The service may be temporarily suspended for maintenance or for reasons beyond our control, including the unavailability or changes of third-party platform APIs.

12. Intellectual property

The service, its components and the Birdiko brand are the exclusive property of SASU Vookl. The User retains full ownership of the content they publish and grants us only the rights needed to provide the service.

13. Liability

Birdiko provides a management tool and does not guarantee any result in terms of reach, engagement or post performance. Birdiko cannot be held liable for the consequences of actions initiated by the User, nor for decisions, outages or sanctions by third-party platforms. To the extent permitted by law, Birdiko's liability is limited to the amounts paid by the User over the last twelve months.

14. Personal data and cookies

The processing of personal data is described in our Privacy Policy, and the use of cookies in our Cookie Policy.

15. Changes to the Terms

Birdiko may modify these Terms. Users are informed of material changes; continued use of the service constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by French law. The parties will endeavour to resolve any dispute amicably. Failing that, any dispute relating to their validity, interpretation or performance falls under the jurisdiction of the courts of the place of SASU Vookl's registered office, subject to mandatory rules of jurisdiction.
